Spinal Function Sort© Annual Clinic License Agreement

This Annual Clinic License Agreement ("Agreement") is entered into by and between Matheson Development ("Licensor") and the purchasing organization ("Licensee") identified during purchase of the Spinal Function Sort© Annual Clinic License ("License").

By purchasing, accessing, downloading, or using the Spinal Function Sort© Annual Clinic License materials, Licensee agrees to the terms and conditions outlined below.


1. License Grant

Matheson Development grants Licensee a limited, non-exclusive, non-transferable license to use the Spinal Function Sort© assessment materials during the active license period.

The license permits use of the materials solely for clinical and professional purposes within the licensed clinic location(s) selected at purchase.

The license includes access to:

  • Spinal Function Sort© Examiner's Manual
  • Spinal Function Sort© Test Materials
  • Spinal Function Sort© Scoring Materials
  • Related digital resources provided by Matheson Development

2. Licensed Locations

The Annual Clinic License is based on the number of physical clinic locations selected at purchase.

License tiers include:

  • Single Clinic License: One physical clinic location
  • Multi-Clinic License (2–4 Locations): Up to four physical clinic locations
  • Multi-Clinic License (5–7 Locations): Up to seven physical clinic locations
  • Multi-Clinic License (8–10 Locations): Up to ten physical clinic locations
  • Enterprise License (11+ Locations): Custom agreement required

Use of the Spinal Function Sort© materials at locations beyond the purchased license tier requires an upgraded license.


3. Authorized Users

The License allows use by clinicians, providers, and staff members employed by or directly affiliated with the licensed organization at the authorized clinic location(s).

The License does not limit the number of individual clinicians within the licensed locations unless otherwise specified in writing by Matheson Development.


4. Permitted Use

During the active license period, Licensee may:

  • Administer the Spinal Function Sort© assessment to patients.
  • Print copies of authorized assessment materials for internal clinical use.
  • Store authorized copies within the licensed organization.
  • Use the assessment results as part of clinical documentation and professional services.

5. Prohibited Use

Licensee may not:

  • Sell, sublicense, distribute, or transfer the materials to another individual, clinic, organization, or entity.
  • Share digital files outside the licensed organization.
  • Upload materials to public websites, file-sharing services, or unauthorized platforms.
  • Modify, reproduce, or create derivative versions of the assessment materials without written permission from Matheson Development.
  • Use the materials for commercial training, resale, or redistribution purposes without a separate written agreement.
  • Provide access to unlicensed clinic locations.

6. Intellectual Property Ownership

All rights, title, and interest in and to the Spinal Function Sort© assessment, including but not limited to:

  • Assessment content
  • Illustrations
  • Manuals
  • Scoring methodology
  • Forms
  • Digital files
  • Related materials

remain the exclusive property of Matheson Development.

This Agreement grants a limited right of use only and does not transfer ownership of any intellectual property.


7. Personalized Licensed Materials

Digital materials provided through the Annual Clinic License may include:

  • Licensee's organization name
  • Organization logo
  • License number
  • License expiration date

These identifiers are intended to confirm authorized use and protect the integrity of the Spinal Function Sort© assessment.

Personalized materials may not be transferred to another organization.


8. License Term and Renewal

The Annual Clinic License begins on the date of purchase and remains active for twelve (12) months unless otherwise terminated.

The License will automatically renew according to the subscription terms selected at purchase unless canceled by Licensee.

Continued access to licensed materials, updates, and support requires an active license.


9. Expiration or Cancellation

If the License expires or is canceled:

  • Access to digital materials and updates may be discontinued.
  • Licensee must discontinue use of the Spinal Function Sort© materials.
  • Licensee may not continue using expired licensed materials.

Previously completed patient records and documentation created during the active license period may be retained as required by applicable laws and professional standards.


10. Updates and Support

During an active license period, Licensee receives access to available updates, revisions, and support provided by Matheson Development.

Matheson Development reserves the right to update, modify, or improve the assessment materials as appropriate.


11. Clinical Responsibility

The Spinal Function Sort© is intended to support clinical assessment and decision-making. It is the responsibility of the licensed professional to interpret assessment results appropriately within the context of each patient's condition and clinical circumstances.

The Licensee remains responsible for professional judgment, patient care decisions, and compliance with applicable professional standards.


12. Limitation of Transfer

This License is granted to the purchasing organization and may not be assigned, transferred, or sold without prior written approval from Matheson Development.


13. Agreement Acceptance

By purchasing the Spinal Function Sort© Annual Clinic License, Licensee acknowledges that:

  • They have reviewed and accepted the terms of this Agreement.
  • They understand the License applies only to the purchased clinic location tier.
  • They agree to protect the confidentiality and integrity of the licensed materials.
  • They understand that unauthorized distribution or use may result in termination of the License.
